Welcome to Payverge. These Terms and Conditions govern your use of our payment processing platform and related services. By accessing or using Payverge, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.
3.1 Eligibility: You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. Business Users must be authorized to represent and bind their business entity.
3.2 Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.3 Account Credentials: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.4 Account Security: You are responsible for all activities that occur under your Account. Notify us immediately of any unauthorized use of your Account.
4.1 Payment Processing: Payverge provides a payment processing platform that enables Business Users to accept card payments from Customers.
4.2 Inactive Access: Businesses without an active subscription can view their data in read-only mode but cannot process payments, create bills, or access operational features.
4.3 Paid Plans: Operations includes full payment processing, analytics, staff management, and operational features. AI Growth adds AI-powered features on top of Operations.
4.4 Service Modifications: We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
5.1 Subscription Fees: Paid plan (Operations and AI Growth) subscriptions are billed via credit/debit card on a monthly or annual basis. Prices are displayed on our pricing page and may change with 30 days notice.
5.2 Payment Method: All subscription payments are processed securely via our payment processor using standard credit/debit card payments.
5.3 Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
5.4 Transaction Fees: Standard payment processing fees apply to customer payments as disclosed during checkout.
5.5 Taxes: All fees are exclusive of applicable taxes, which you are responsible for paying.

8.1 Payment Security: All payment transactions are processed securely through our third-party payment processor. We do not store complete credit card information on our servers.
8.2 PCI Compliance: Our payment processing is PCI DSS compliant. You agree to provide accurate payment information and authorize us to charge your payment method.
8.3 Payment Authorization: By providing payment information, you authorize us to charge the applicable fees to your payment method.
8.4 Failed Payments: If a payment fails, we may suspend your access to paid plan features until payment is successfully processed.
9.1 Disclaimer: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Limitation of Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYVERGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
9.3 Liability Cap: Our total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Payverge, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.
11.1 Termination by You: You may terminate your account at any time by following the cancellation process in your account settings.
11.2 Termination by Us: We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. We may terminate your account immediately if you violate these Terms.

12.2 Binding Arbitration: Any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
12.3 Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and Payverge individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
12.4 EU and UK Consumer Rights (pending legal sign-off): If you are a consumer resident in the European Union, the European Economic Area, or the United Kingdom, the arbitration, class-action waiver, and Delaware governing-law provisions above do not override the mandatory consumer-protection rights and the local-court jurisdiction guaranteed to you by the laws of your country of residence. This clause is a placeholder pending review and confirmation by qualified legal counsel and does not yet constitute final, binding terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
